Custom Theme Package – Services Description

Higher Logic will provide the services as set forth below. By executing the Order Form to which this Services Description is attached, Subscriber hereby expressly agrees to all terms and conditions of the Order Form, this Services Description and the Master Subscription Agreement. Defined terms shall have the meaning accorded to such terms in the Master Subscription Agreement unless otherwise set forth herein. 

Custom Theme Scope of Services:

1. Project Overview: Higher Logic will arrange for certain professional services to be provided to Subscriber related to the design and development of a theme similar to the Subscriber’s associated website and/or brand. The services set forth below will be provided to Subscriber by Higher Logic’s service provider, eConverse Media Inc.
2. Project Scope. The scope for this project includes the following items, and any items not explicitly mentioned and/or included in this document are excluded from the scope of this project.
   1. Discovery –
      1. eConverse Media will schedule a kickoff call to establish project goals
      2. Client will be sent Design Worksheet to provide design assets, branding guide and relevant URLs
      3. Project timelines established
   2. Design –
      1. Wireframes for homepage (logged in and logged out) with two (2) round of revisions
      2. Design mockups of homepage (logged in and logged out) and interior page template with two (2) round of revisions
   3. Development –
      1. Upon design approval, eConverse Media will provide the following and have it developed and configured on your Higher Logic tenant:
         1. CSS for Higher Logic theme (responsive and mobile optimized)
         2. HTML necessary for theme design/functionality
         3. Any necessary Javascript for design/functionality
         4. Configuration of Higher Logic widgets
   4. Testing –
      1. Testing for mobile responsiveness
      2. Testing for browser compatibility on the browsers supported by Higher Logic 
      3. Testing for web accessibility to the accessibility level as the baseline Higher Logic product
      4. Permissions for HTML content item and widget visibility
   5. Training –
      1. Documentation of specific styles
      2. One (1) hour training session on theme-specific elements and how to amend. This will be recorded for future reference by Subscriber.

1. Project Assumptions and Exclusions
   1. Project assumes that Subscriber will provide design assets (logos, color codes, font files, style guide)
   2. Wireframe or design mockup changes/additions after approval may result in additional fees and may extend timeline
   3. Project assumes that Subscriber will indicate the Higher Logic modules that they will be using
   4. Subscriber will provide any necessary copy
   5. Project excludes setting up or implementing advertising or metrics tracking
   6. Project excludes custom third-party non-Higher Logic content such as embedded code (ex. interactive maps or newsletter subscription fields)
   7. Project excludes any custom animation or graphics unless provided
   8. Project assumes that the styles to be matched are compatible with the Higher Logic platform. These will be indicated by eConverse Media as early as possible and alternatives will be recommended
   9. Project excludes content migration
   10. Project excludes additional site navigation (can easily be added by Subscriber)
   11. Training excludes Higher Logic functionality unrelated to theme (ex. Community configuration or privacy defaults)

1. Project Timeline:
   1. eConverse Media commits to facilitating a remote project/team introduction meeting within two (2) weeks from the execution of the Order Form to which this Exhibit is attached.
   2. Ten-week timeline begins when eConverse Media receives completed design worksheet and is given Super Admin access to Subscriber’s Higher Logic environment
   3. The project timeline assumes that the project scope outlined above is accurate and does not reflect any delays in receiving information from Subscriber or pre-launch activities.

1. Project Resources:
   1. Project work will be scheduled based on eConverse Media’s resource availability at the time the Order Form to which this Exhibit is attached is fully executed.
   2. eConverse Media will provide a project lead, designer and developer to complete the scope within this Exhibit.
   3. Subscriber will need to engage a minimum team of at least one stakeholder who can provide resources and obtain the appropriate approvals in a timely fashion
2. Payment: As set forth in the Order Form
